Pelindo Inbreng Shares in Logistics Subholding and Hinterland Development

Yogyakarta, March 2, 2022 – As a follow-up to the post-Melindo corporate action, namely restructuring the Port BUMN, PT Pelabuhan Indonesia (Persero) / Pelindo transferred shares or inbreng of Subsidiaries in the Logistics and Hinterland Development cluster to PT Pelindo Solusi Logistik (SPSL) as Subholding Logistics and Hinterland Development on Tuesday (1/3). After the four Subholdings have passed the share inbreng process, the restructuring phase of Pelindo will continue with the purification of the business of Pelindo's subsidiaries and grandchildren in each cluster.

The signing of the Deed and Document of Transfer of Shares (Inbreng) was attended and signed directly by the President Director of Pelindo, President Director of PT Pelindo Solusi Logistik, and five subsidiaries namely President Director of PT Pelindo Logistik Indonesia, President Director of PT Multi Terminal Indonesia, President Director of PT Prima Indonesia Logistics, President Director of PT Nusantara Terminal Services and President Director of PT Prima Kawasan Pembangunan.

“With this share sharing process, SPSL will become business owners, while business operations will be the responsibility of its Subsidiaries as per the predetermined master plan. It should also be remembered that Pelindo has set a high targeted value creation, therefore I hope SPSL can pay attention to value creation which is a shared responsibility," said Pelindo Deputy President Director, Hambra.

"I appreciate the hard work of the Board of Directors and the management of Pelindo to pursue today's target. Let's prove to the public that we are able to achieve the targets that have been set. We all also look forward to the hard work and commitment of SPSL management in providing innovations and meeting targets. In the future, the share inbreng process is projected to be able to increase SPSL's core competence and specialization in logistics and hinterland development that is more qualified so that it can provide more value for Pelindo and realize the aspirations of stakeholders in the logistics business and hinterland development.

“The implementation of inbreng subholding logistics and hinterland development is not just a transfer of share ownership, but a strategy to create a more focused and seamless Pelindo business model, which in turn will provide added value to both Pelindo itself and its ecosystem, so that the purpose of the merger of Pelindo is to increase connectivity, creating integrated logistics services, contributing to reducing national logistics costs and other supporting matters can be achieved effectively," said Desty Arlaini, Assistant Deputy for Logistics Services at the Ministry of BUMN.

Desty added that SPSL must make collaboration with stakeholders and logistics industry players a priority initiative in order to be able to realize service excellence in the logistics chain and become a solution to national logistics problems.

In the procession of the inauguration of the deed of transfer of shares (inbreng) of a Pelindo subsidiary to SPSL today, Desty Arlaini, Assistant Deputy for Logistics Services at the Ministry of BUMN, President Commissioner of Pelindo, Admiral TNI (Ret.) Prof. Dr. Marsetio, S.I.P., M.M., Pelindo Board of Commissioners, Pelindo Board of Directors, SPSL Board of Commissioners and Directors, as well as Board of Commissioners and Directors of Subsidiaries who are members of the logistics cluster and hinterland development.

“I hope that SPSL can become Pelindo's spearhead because the SPSL entity is much more flexible than other subholdings, so that SPSL can answer what we expect. In the future, SPSL can implement vertical and horizontal expansion and be able to become an entry point for other Subholdings," said Pelindo President Director, Arif Suhartono.

On this occasion the President Director of SPSL, Joko Noerhudha added that to become the best solution provider for an integration logistics ecosystem is the vision of SPSL which will be realized through strategic initiatives which are then expected to be able to provide value creation and financial uplift for the Pelindo Group.

In its existence, the Pelindo Subholding has three main tasks, namely determining port service policies according to its business lines that are in line with Pelindo's strategic policies, carrying out operational powers and duties from Pelindo, and as a revenue generator.
